Goldman Sachs has acquired a significant stake in Brainbees Solutions, the parent company of FirstCry, through a bulk deal worth around ₹119 crore. The transaction took place on September 24, 2026, as the company witnessed a major change in its institutional shareholder base.

Goldman Sachs Investments Mauritius I Ltd purchased 68 lakh shares of Brainbees Solutions at ₹175 per share on the National Stock Exchange. The total value of the transaction stood at approximately ₹119 crore.

At the same time, private equity investor TPG completely exited its investment in FirstCry through a separate bulk deal worth around ₹202 crore.

The two transactions have put FirstCry’s parent company back in focus among investors, particularly because of the involvement of major global institutional investors.

Goldman Sachs Buys 68 Lakh Shares

According to exchange transaction data, Goldman Sachs purchased 68 lakh shares of Brainbees Solutions at ₹175 per share.

The transaction represents an investment of approximately ₹119 crore.

Goldman Sachs is not new to FirstCry. The global investment firm was also among the anchor investors during Brainbees Solutions’ initial public offering.

The latest purchase, however, gives Goldman Sachs additional exposure to the company through the secondary market.

A bulk deal of this size can attract investor attention because it involves a significant number of shares changing hands between large institutional participants. However, the transaction itself does not necessarily indicate how the stock may perform in the future.

TPG Completely Exits FirstCry

While Goldman Sachs was buying shares, private equity firm TPG was selling its entire remaining stake.

TPG, through its investment arm NewQuest Asia Investments III, sold around 1.2 crore shares representing approximately 2.21% of Brainbees Solutions.

The shares were sold at around ₹175.15 per share, resulting in a transaction worth approximately ₹202 crore.

TPG had invested in FirstCry in 2021 and continued to hold a stake even after the company’s stock market debut in 2024.

The latest transaction marks a complete exit from the company for the private equity investor.

The difference between the two transactions is important. Goldman Sachs bought 68 lakh shares, while TPG sold roughly 1.2 crore shares. This means Goldman Sachs was one of the major buyers, but it was not the buyer of TPG’s entire stake.

Why Is the Deal Important?

The bulk deal comes at an important stage for FirstCry as the company continues to work on improving profitability while expanding its omnichannel business.

FirstCry operates through both online and offline channels and has built a large business around baby and children’s products, including clothing, toys, footwear, accessories and other products for parents and children.

The company has also expanded beyond its core marketplace operations through acquisitions and investments in different consumer categories.

Institutional transactions such as the latest Goldman Sachs purchase can bring additional attention to the company’s future growth strategy.

At the same time, TPG’s exit highlights how early investors can gradually reduce or completely sell their holdings after a company becomes publicly listed.

FirstCry Continues to Focus on Profitability

Brainbees Solutions has been working on improving its financial performance while continuing to expand its business.

In the first quarter of FY27, the company reported a year-on-year decline in its net loss to around ₹44 crore, compared with a loss of approximately ₹66.5 crore in the corresponding period of the previous year.

At the same time, operating revenue increased to around ₹2,106 crore.

The combination of increasing revenue and a lower reported loss has made profitability one of the key areas investors are watching.

For a company operating in a competitive consumer market, improving unit economics and controlling operating costs remain important as it expands its physical and digital presence.

Swara Baby IPO Also Adds to the Story

Another development connected to FirstCry’s wider business is the proposed IPO of its subsidiary Swara Baby Products.

Swara Baby has filed draft documents with the market regulator for a proposed public issue of around ₹1,000 crore.

The proposed issue includes a fresh issue component as well as an offer-for-sale component.

Swara Baby operates in the disposable hygiene products segment, giving FirstCry’s parent company exposure to another category within the broader baby and childcare market.

The progress of this proposed IPO could become another important development for Brainbees Solutions and its investors.

What Happens Next for FirstCry?

The Goldman Sachs purchase and TPG exit are significant changes in FirstCry’s shareholder structure, but the company’s long-term performance will continue to depend on its business fundamentals.

Investors will be watching revenue growth, profitability, customer acquisition costs, offline expansion and the performance of its various businesses.

The company will also need to balance expansion with improving margins in an increasingly competitive consumer market.

For now, the latest bulk deal has brought FirstCry back into the spotlight, with Goldman Sachs increasing its exposure while TPG completes its exit after several years as an investor.
