Adani Energy Solutions’ proposed ₹3,050 crore acquisition of IntelliSmart Infrastructure has hit a regulatory hurdle after the Competition Commission of India (CCI) sought additional information about the transaction.

The development has put the spotlight on one of India’s biggest smart-metering businesses and Adani Energy Solutions’ broader plans to expand its presence in the country’s rapidly growing power distribution technology market.

The proposed acquisition is significant because IntelliSmart is already one of the major players in India’s smart-metering ecosystem, with more than 2.2 crore smart meters deployed across different states.

What Is the IntelliSmart Deal?

Adani Energy Solutions has proposed acquiring IntelliSmart Infrastructure for approximately ₹3,050 crore.

IntelliSmart is a joint venture between the state-owned National Investment and Infrastructure Fund (NIIF) and Energy Efficiency Services Limited (EESL). The company focuses on smart metering and digital solutions for electricity distribution.

Smart meters are gradually replacing traditional electricity meters across India. Unlike conventional meters, smart meters can automatically record electricity consumption and transmit data to power distribution companies.

This allows utilities to monitor consumption more efficiently, reduce manual meter-reading requirements and improve billing and collection processes.

For Adani Energy Solutions, acquiring an established smart-metering platform could significantly expand its presence in this segment.

Why Is CCI Looking Into the Deal?

The Competition Commission of India examines large acquisitions to determine whether they could negatively affect competition in a particular market.

In the case of the IntelliSmart transaction, the CCI has sought additional information because it considers the information submitted about the combination to be incomplete.

This does not mean that the acquisition has been rejected.

Instead, it indicates that the regulator wants more details before deciding whether the transaction can proceed under the applicable competition framework.

The additional scrutiny is particularly relevant because smart metering is becoming an increasingly important part of India’s electricity distribution infrastructure.

Why Are Smart Meters Becoming Important?

India is undergoing a major transformation in the way electricity distribution is managed.

Traditional electricity meters generally require manual readings and provide limited real-time information. Smart meters, on the other hand, can transmit consumption information digitally.

For electricity distribution companies, this can help with several areas, including billing, collection efficiency, monitoring consumption and identifying certain irregularities.

For consumers, smart meters can eventually provide more detailed information about electricity usage and enable digital monitoring of consumption.

The government’s nationwide smart-metering push has therefore created a large potential market for companies involved in manufacturing, deploying and managing these systems.

Adani Energy’s Bigger Ambition

The IntelliSmart acquisition fits into Adani Energy Solutions’ broader strategy of expanding beyond traditional electricity transmission and distribution infrastructure.

The company has been increasing its focus on smart-metering and other technology-driven areas of the power sector.

Acquiring IntelliSmart would give Adani Energy Solutions access to an established platform with significant experience in deploying smart meters across India.

The transaction could therefore help the company strengthen its position in the smart-metering market rather than building the same scale entirely from scratch.

However, the acquisition still needs to clear the necessary regulatory and statutory requirements.

What Could the Deal Mean for India’s Power Sector?

The transaction comes at a time when India’s electricity sector is becoming increasingly digital.

As electricity demand grows and distribution companies look for ways to improve efficiency, technologies such as smart meters are expected to play a larger role.

Large-scale deployment can also generate huge amounts of electricity consumption data, allowing distribution companies to understand demand patterns more accurately.

For companies operating in this space, scale can become an important advantage because smart-metering projects often involve large deployments across cities, states and distribution networks.

This is one reason why the IntelliSmart deal is attracting attention beyond Adani Energy Solutions itself.

What Happens Next?

The immediate next step is for the parties involved to provide the additional information requested by the CCI.

The regulator will then evaluate the transaction and determine whether it can proceed under the competition framework.

Until that process is completed, the ₹3,050 crore acquisition should be viewed as a proposed transaction rather than a completed deal.

For Adani Energy Solutions, the outcome could influence its position in India’s smart-metering market and its ability to scale up its digital electricity infrastructure business.

For the wider power sector, the transaction highlights how smart meters are becoming more than just a replacement for traditional electricity meters. They are increasingly becoming a key part of India’s shift towards a more digital and data-driven electricity distribution system.
